The Participation Policy applies to the investment funds managed by LGT as well as to portfolio management mandates. The Participation Policy applies to direct investments made by LGT in equities traded on a regulated market.
The Participation Policy adheres in particular to the following principles, whereby the application of these principles is proportional, depending on the degree of active commitment and the fundamental investment decision in accordance with the respective investment objectives[CS1] , as well as taking into account the expense associated with participation and the share of the companies’ market capitalization ("proportionality").
A diligent selection and monitoring process serves as the basis for investing in stock corporations. These activities and the ongoing monitoring of the stock corporations are conducted by LGT’s[CS2] portfolio management, LGT’s equity research and on the basis of external research. This provides data and information on strategy, financial and non-financial performance, risk, capitalization, corporate governance and social and environmental impact, which is incorporated directly or indirectly into the selection and monitoring process. Generally, the companies selected are leading large-cap companies whose quality according to various criteria is above average. The majority of these companies are based in Europe and the US, however, on occasion, additions can be made from other countries.
LGT takes proportionality into account in any discussions it conducts with companies in which it has invested. Discussions can take the form of personal telephone calls or conference calls, participation in roadshows and other forms of contact with such companies. Discussions can also be conducted with companies through participation at meetings (in particular annual general meetings).
LGT does not exercise any voting rights as a portfolio manager. These rights may be exercised by the custodians if appropriate. However, the client may authorize LGT to exercise voting rights in accordance with the client’s express instructions.
As a general rule, cooperation with other shareholders does not take place, as their share of the market capitalization of the respective stock corporation is usually not material.
The share of market capitalization of the respective stock corporation is not considered material and no communication therefore exists with other relevant stakeholders of the company.
The Participation Policy serves exclusively to safeguard the interests of investors and is in line with LGT’s investment objectives and investment policy. LGT’s internal guidelines ensure that conflicts of interest are avoided and that unavoidable conflicts of interest are resolved while safeguarding the client’s interests. The guidelines are based on LGT’s corporate strategy and thus on its business principles. These served as the basis for the LGT Employee Code of Conduct.
On behalf of selected mandates and fund solutions, we might engage companies on their key risks, challenges and opportunities linked to environmental, social and governance (ESG) topics. We define engagements as meetings with corporate management in which we express our expectations for positive improvements on sustainability issues over time. We might conduct engagements both on our own and through an external engagement service provider which conducts engagement meetings on our behalf.
